Rental Agreement.
[LIKE THIS] are unfilled placeholders.This Rental Agreement (“Agreement”) is entered into between AXION Aerial Systems (“AXION”) and the renter named in the booking confirmation (“Renter”) and governs the rental of AXION drone airframes (the “Equipment”).
1. Equipment and term
- The Equipment is identified in the booking confirmation (e.g. AXION-S3 / X9 / H12).
- The rental term begins on the pickup or delivery date and ends on the return date stated in the booking, inclusive.
- Late returns are billed at 1.5× the daily rate per started day.
2. Pricing and deposit
- Rates are as stated at booking, in CAD, exclusive of 5% GST.
- A pre-authorization hold of CAD
[$XXX]may be placed on the Renter's payment method as a damage deposit, released within[N]business days of return.
3. Operator requirements
The Renter (or the pilot in command, if different) shall:
- Hold a valid Transport Canada RPAS Pilot Certificate of the class appropriate to the operation (Basic, Advanced, or Special Flight Operations Certificate as required);
- Be at least 18 years old;
- Carry a copy of the certificate during operation and present it on demand;
- Comply with the Canadian Aviation Regulations, including but not limited to CAR 901 and any applicable NOTAMs.
4. Permitted use
The Equipment may be used only for lawful commercial or research operations consistent with the certificate held. Prohibited uses include, without limitation:
- Flight in restricted, controlled, or no-fly airspace without proper authorization;
- Flight beyond visual line of sight (BVLOS) without an SFOC, where required;
- Flight over assemblies of people without authorization;
- Use to harass, surveil, or otherwise violate the privacy of any person;
- Subleasing, lending, or transferring the Equipment to a third party.
5. Insurance
The Renter must maintain in force, for the duration of the rental, commercial aviation liability insurance with a minimum limit of CAD [$2,000,000] per occurrence, naming AXION Aerial Systems as an additional insured. Proof of coverage must be provided before pickup.
6. Damage, loss, and theft
- The Renter is responsible for the Equipment from pickup until return-acceptance by AXION.
- Damage, loss, or theft is billed at the lesser of (a) actual repair cost or (b) the replacement value listed in the booking confirmation.
- The Renter must notify AXION within 24 hours of any incident, loss, or damage.
7. Maintenance and modifications
The Renter shall not modify, repair, or open the Equipment. Battery handling shall follow AXION's written guidance, including charge/discharge limits and storage temperatures.
8. Delivery and pickup
- Free overnight delivery within AB / BC / SK; outside this area, shipping costs are the Renter's responsibility.
- Pickup at AXION's Abbotsford depot is available during posted hours.
- The Renter must inspect the Equipment on receipt and report any pre-existing damage in writing within 4 hours.
9. Cancellation
Cancellation terms follow the Terms of Service § 4.
10. Limitation of liability
To the maximum extent permitted by law, AXION's aggregate liability under this Agreement shall not exceed the rental fees paid for the Equipment giving rise to the claim. AXION is not liable for indirect, consequential, or business-interruption damages.
11. Indemnification
The Renter shall indemnify and hold harmless AXION from any third-party claim arising out of the Renter's operation of the Equipment, including claims for property damage, personal injury, or regulatory violations.
12. Governing law
This Agreement is governed by the laws of British Columbia and the federal laws of Canada applicable therein, with exclusive jurisdiction in the courts of British Columbia.
13. Acknowledgement
By completing the booking flow and accepting the booking summary, the Renter acknowledges that they have read, understood, and agree to be bound by this Agreement.
